End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal contract between you ("End User", "you", or "your") and Netvio Ltd ("Netvio", "we", "our", or "us") governing your use of Netvio software, including NetvioGo, AppBuilder, and any related applications, tools, drivers, firmware, or updates (collectively, the "Software").

By downloading, installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

1. License Grant

Netvio grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software solely:

  • On devices owned or controlled by you, and

  • In connection with authorized Netvio hardware and services

This license is granted for the duration of your use of the compatible Netvio product or until terminated as outlined in Section 9.

2. Ownership & Intellectual Property

All rights, title, and interest in and to the Software—including all updates, modifications, source code, and documentation—are the exclusive property of Netvio or its licensors. You do not acquire any ownership rights under this Agreement.

The Software is protected by copyright, trademark, and other intellectual property laws.

3. Restrictions

You may not:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software

  • Modify, adapt, or create derivative works from the Software

  • Remove or alter proprietary notices or branding

  • Use the Software for commercial hosting, resale, or unauthorized control of non-Netvio products

  • Circumvent or disable any security features

4. Updates and Support

Netvio may, at its discretion, provide:

  • Software updates or patches to improve performance or add features

  • Technical support as defined on our website or in separate service agreements

You are responsible for installing updates. Continued use of outdated versions may affect performance and compatibility.

5. Open Source Components

Some components of the Software may be licensed under open-source licenses. Use of such components is governed by their respective licenses, which are available upon request or included in the Software documentation.

6. Data Usage and Privacy

 

Use of the Software may involve the processing of personal or technical data. By using the Software, you agree to Netvio’s Privacy Policy, which explains how data is collected, used, and protected.

7. Third-Party Services

The Software may interact with third-party services or platforms (e.g., Crestron, Q-SYS). Netvio is not responsible for the performance, availability, or terms of use of such services. Use of third-party services is at your own risk and subject to their respective terms.

8. Disclaimer of Warranties

The Software is provided "AS IS" without warranties of any kind, express or implied, including but not limited to:

  • Merchantability

  • Fitness for a particular purpose

  • Non-infringement

Netvio does not warrant that the Software will be error-free, secure, or operate uninterrupted.

9. Termination

This Agreement is effective until terminated. It may be terminated:

  • By you, at any time by ceasing use and uninstalling the Software

  • By Netvio, if you breach any term of this Agreement

Upon termination, you must delete all copies of the Software in your possession.

10. Limitation of Liability

To the maximum extent permitted by law, Netvio shall not be liable for:

  • Any indirect, incidental, special, or consequential damages

  • Loss of data, revenue, or business opportunities

  • Device failure or incompatibility

In any event, Netvio’s total liability shall not exceed the amount you paid for the Software (if any).

11. Export Compliance

You agree to comply with all applicable export laws and regulations. The Software may not be exported or re-exported into any country subject to U.S., EU, or UK sanctions or to anyone on restricted lists.

12. Governing Law

  • If you are located in the U.S.: This Agreement shall be governed by the laws of the State of [Insert U.S. State, e.g., Delaware or New York], without regard to conflict of laws.

  • If you are located in the EU/EEA: This Agreement shall be governed by the laws of England and Wales.

13. Entire Agreement

This Agreement constitutes the entire agreement between you and Netvio regarding the Software and supersedes all prior oral or written communications. If any provision is found to be unenforceable, it shall not affect the validity of the remainder.
